Clauses 6 & 7: Unaltered (arbitration clause and inter-

pretation of the Agreement in accordance with the law of England).

Panama cargo: 1 % commission, as agreed according to Sep-

tember heads of Agreement between the parties, but plus payment

by my Company of an amount equivalent to three months Cheethem

salary (amply covering the period during which the small remain-

ing cargo ex this vessel is being sold).

if Mr. Carroll agrees

to which terms would have to be added

that we are to pay you one half of any profits arising to us under

the following clause of our contract with the Texaco:

"Any profit which may result after all expenses, handling

and distributing charges and commission, as hereinbefore men-

tioned, have been deducted and the Oil paid for at the invoice

value as of date of shipment shall be divided equally between

the Principals and the Agents."
